1. PREAMBLE AND SCOPE

These Commercial Terms and Conditions ("Agreement") constitute a legally binding agreement between Oberon Jewels, a company incorporated under the laws of India having its registered office in Surat, Gujarat ("Supplier", "We", "Us"), and the entity or individual purchasing products for resale, commercial use, or manufacturing purposes ("Buyer", "Retailer", "You").

By accessing the Oberon Jewels B2B platform or submitting a purchase order, you represent that you are acting in a professional capacity and have the authority to bind your business entity to these terms.

2. ACCOUNT ELIGIBILITY AND INTEGRITY

  • Trade Only: Our website and services are intended solely for the use of jewelry retailers, wholesalers, and authorized trade partners. We reserve the right to request business verification documents (such as business licenses or tax identification numbers) prior to accepting any order.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials. Any order placed through your business account will be deemed an authorized instruction by you.

3. PRODUCTS, RENDERS, AND SPECIFICATIONS

  • Visual Representation: You acknowledge that many products displayed on our platform are high-fidelity digital renders. While we strive for manufacturing precision, slight variations in stone color, metal weight (+/- 5%), and texture are inherent to the custom manufacturing process. Such variations do not constitute a defect.
  • Availability: All goods are subject to availability and raw material supply. We reserve the right to discontinue designs or limit quantities without prior notice.

4. PRICING AND PAYMENT TERMS

  • Market Fluctuations: Due to the dynamic nature of the precious metals and gemstone markets, prices are subject to change without notice. The price applicable to your order is the price in effect at the time of order confirmation.
  • Payment: Unless otherwise agreed in writing, 100% payment is required to initiate production or dispatch goods. Payment must be made via bank transfer or other approved channels. Orders will not be processed until funds have cleared.
  • Errors: In the rare event of a typographical pricing error, we reserve the right to cancel the order and refund any amounts paid, even if the order has been confirmed.

5. ORDER ACCEPTANCE AND CANCELLATION

  • Offer and Acceptance: Your submission of a Purchase Order constitutes an offer. Acceptance occurs only when Oberon Jewels issues a formal Order Confirmation or Commercial Invoice.
  • Custom Orders: For "Make-to-Order" or custom designs, orders cannot be cancelled or modified once the CAD design is approved and production has commenced.

6. SHIPPING AND RISK OF LOSS

  • Complimentary Shipping: Oberon Jewels is pleased to offer complimentary standard shipping on eligible B2B orders. However, we reserve the right to charge for expedited shipping or specialized logistics requests.
  • Transfer of Risk (Incoterms): While we cover the cost of shipping, the risk of loss or damage to the goods transfers to the Buyer upon delivery to the carrier (FCA Surat), unless the shipment is fully insured by Oberon Jewels, in which case risk transfers upon signature at the delivery destination.
  • Delays: Delivery timelines are estimates. Oberon Jewels is not liable for production interruptions or shipping delays caused by force majeure events, customs holds, or carrier operational failures.

7. INTELLECTUAL PROPERTY

  • Ownership: All catalog designs, CAD files, images, and website content remain the exclusive intellectual property of Oberon Jewels.
  • License: You are granted a limited, revocable license to use our product images solely for the purpose of marketing Oberon Jewels products to your end customers. You may not reproduce our designs for manufacturing by third parties.

8. INSPECTION AND ACCEPTANCE

  • Inspection Period: The Buyer must inspect all goods immediately upon receipt. Any claims regarding visible defects, shortages, or non-conformity must be made in writing within 48 hours of delivery.
  • Deemed Acceptance: Failure to notify us of defects within this timeframe constitutes full acceptance of the products and waiver of any such claims.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Oberon Jewels shall not be liable for any indirect, special, incidental, or consequential damages (including lost profits, loss of goodwill, or business interruption) arising from the sale or use of our products.
  • Our total liability for any claim shall not exceed the actual purchase price paid for the specific product giving rise to the claim.

10. GOVERNING LAW AND DISPUTE RESOLUTION

  • Jurisdiction: These Terms shall be governed by the laws of India.
  • Venue: Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Surat, Gujarat, India.

11. MODIFICATIONS

We reserve the right to update these Commercial Terms at any time. Continued business with Oberon Jewels following the posting of changes constitutes your acceptance of those changes.
